Chapter 5 - THE BILLION-DOLLAR DEAL
Aurelia Hospitality had expanded too quickly.
Elena knew debt had increased.
She did not know how badly.
Julian had opened resorts in Miami, Cabo, Aspen, and Turks and Caicos within four years.
Every launch looked successful.
Press photographs.
Sold-out opening weekends.
Celebrity guests.
But opening a resort and making it profitable were different things.
The new refinancing package consolidated $1.4 billion in loans.
Collateral included long-term resort lease rights.
Marlowe-owned land.
Thomas stared at the documents.
“He can’t pledge these.”
Miriam nodded.
“Not without landlord consent.”
“Did we consent?”
“No.”
“Then how did lenders approve preliminary terms?”
The answer arrived inside a PDF.
LANDLORD ESTOPPEL CERTIFICATE.
Signed.
THOMAS MARLOWE.
Thomas looked at his own name.
“I never signed this.”
Elena felt cold.
The fraud was larger than her marriage.
Julian had forged landlord consent.
The deal was scheduled to close Friday.
If completed, lenders would believe they held protections over leases they could not legally control.
Julian might receive hundreds of millions in liquidity.
And Camila had been promised a new executive position immediately afterward.
Thomas stood.
“We stop the closing.”
Elena looked at him.
“Will that destroy Aurelia?”
“No.”
“Maybe.”
Thomas did not soften it.
“If the company is as leveraged as this suggests, blocking the financing could trigger defaults.”
Elena closed her eyes.
Thousands of employees.
Managers.
Housekeepers.
Chefs.
Drivers.
Spa workers.
People who had nothing to do with Julian.
“I don’t want them punished.”
Thomas nodded.
“Then we separate Julian from Aurelia.”
“Can we?”
Thomas looked toward Miriam.
She answered.
“Ownership can.”
That was when Elena understood the real purpose of the six o’clock meeting.
Julian thought he was attending an emergency board dispute.
He was actually walking into a control hearing.
At 5:12 a.m., notices went to every director.
At 5:20, independent audit counsel joined.
At 5:31, lenders received preservation notice.
At 5:44, all major Aurelia property leases were flagged against unauthorized encumbrance.
At 5:58, Julian entered the executive boardroom wearing the same tuxedo from the night before.
Camila was not invited.
He sat at the head of the table.
“Let’s get this over with.”
Thomas appeared on screen.
Julian leaned back.
“Of course.”
Then Elena walked into the room.
Julian stared at her.
“You.”
She sat opposite him.
No wet dress.
No tears.
No security hands on her arms.
Just a cream suit and her grandmother’s empty pendant chain around her neck.
Julian looked at the chain.
For the first time, he understood the jewelry had become part of the case.
Then Miriam spoke.
“This emergency meeting concerns beneficial ownership, executive misconduct, falsified lender documents, unauthorized asset encumbrance, and possible fraud.”
Julian laughed.
“Because I asked my wife to leave?”
Elena looked at him.
