Chapter 6 - The Board Meeting

The emergency Vale Industries board meeting began at 9:00 a.m. Pacific time.
Claire joined from Washington.
Adrian entered the San Diego boardroom expecting sympathy.
Instead, twenty-nine percent of the voting shares already belonged to his wife.
Richard held thirty-one.
Together, they controlled sixty.
Margaret sat beside Adrian.
Her expression toward Claire could have cut glass.
Adrian began.
“This meeting is illegitimate.”
Richard answered.
“No.”
“It’s overdue.”
Adrian looked at his father.
“You’re siding with her?”
Richard said.
“I’m siding with audited numbers.”
Claire watched Adrian’s face.
He always hated facts that did not respect emotion.
Company counsel presented the internal review.
Forty-one million dollars in questionable authorizations.
Not all stolen.
Some reckless.
Some fraudulent.
Several signed by Adrian without reading.
Adrian exploded.
“Ethan prepared those.”
Counsel answered.
“You signed them.”
“I trusted my executive assistant.”
Claire almost smiled.
Adrian heard his own problem and still did not understand it.
Then Ethan joined remotely.
Adrian stared at the screen.
“You.”
Ethan remained calm.
“Good morning.”
“You stole from me.”
Ethan smiled faintly.
“I learned from watching the company.”
Richard’s face hardened.
Ethan continued.
“You think this business was yours because your name was on the building.”
“You barely knew how it functioned.”
Adrian leaned toward the camera.
“I’ll bury you.”
Claire spoke for the first time.
“No.”
Everyone turned.
She continued.
“No threats.”
“Not today.”
Adrian stared at her.
“Claire.”
She looked directly into the camera.
“You told Savannah I knew better than to question you.”
“You told your employees I was ornamental.”
“You told me the company was too complicated for me.”
A small silence.
Claire opened a financial model.
“I spent the last six weeks reviewing Vale Industries’ debt structure.”
Adrian looked surprised.
She continued.
“Ethan bought your weakest notes.”
“He can trigger defaults.”
“But he needs board cooperation to take control.”
Ethan stopped smiling.
Claire looked toward counsel.
“Has Vale Meridian filed a formal default action?”
“No.”
“Then we refinance before he does.”
Richard leaned forward.
“With what money?”
Claire answered.
“My money.”
Adrian’s face changed.
There it was again.
The forty-six million.
He still heard it like an insult.
Claire continued.
“I will provide a secured bridge facility.”
“Conditional on immediate governance changes.”
Margaret laughed.
“You intend to buy the company with inherited money?”
Claire looked at her.
“No.”
“I intend to prevent Ethan from stealing it while your son learns what accountability costs.”
Adrian stood.
“This is my company.”
Richard answered quietly.
“No.”
“It is a company.”
“Your confusion between those two things created this mess.”
The board voted.
Adrian was suspended as CEO pending investigation.
Claire’s bridge facility was approved.
