Chapter 10 - THE BOARD MEETING

Cole Family Manufacturing held an emergency board meeting on December 29.

Margaret attended as an honorary director.

Vanessa came with her attorney.

Emily sat beside me.

My mother looked at her bruised cheek and then quickly away.

Claire presented the forged transfer request.

The board’s technology officer confirmed it came from Vanessa’s computer.

Vanessa’s attorney claimed an assistant submitted it accidentally.

The assistant denied receiving the documents.

Margaret interrupted.

“Daniel intended to place the company into a family trust eventually.”

“No,” I said.

“You told me family ownership mattered.”

“It does.”

“But family ownership does not mean Vanessa controls my shares.”

Margaret looked toward the board.

“My son is under tremendous marital pressure.”

Emily remained silent.

The chairman asked whether I wished to respond.

“Yes.”

“My wife advised me not to evict my parents during a winter storm.”

“She advised me to allow Vanessa’s business to enter a normal bankruptcy process rather than use company money to rescue it.”

“She advised me to disclose every financial arrangement I had hidden from her.”

“If this is coercion, it is remarkably inconvenient for her.”

Several board members smiled.

Margaret did not.

Vanessa presented Dr. Hayes’s declaration.

The chairman read the first page.

“Has this doctor examined Daniel?”

“No,” Claire answered.

“Then this document carries no weight here.”

The board voted unanimously to reject the transfer.

They also removed Margaret’s honorary voting privileges pending the fraud investigation.

Vanessa was banned from accessing company systems.

My mother stood.

“Your father created this business.”

“My father lost it,” I said.

“I rebuilt it.”

“He helped.”

“Yes.”

“That does not give you authority over my signature.”

My father was not present.

He had refused to support the transfer.

That decision came late.

It still mattered.

When the meeting ended, Margaret approached Emily.

For one moment, I thought she might apologize.

Instead, she whispered,

“You must be proud.”

Emily looked at her.

“No.”

“I am tired.”

Then she walked away.
